UCITS

A UCITS (Undertaking for Collective Investment in Transferable Securities) is an EU-regulated investment fund framework designed principally for investment products suitable for retail investors. UCITS are subject to detailed requirements concerning eligible assets, investment diversification, liquidity, risk management and investor protection. A UCITS may invest primarily in transferable securities, money market instruments and certain other eligible liquid financial assets, and may use financial derivatives within the limits prescribed by the UCITS regulatory framework.

Ireland and US Asset Managers

Ireland is an established European domicile for UCITS and has a particularly strong position in the ETF market. Irish UCITS may be established using a number of legal structures, including the ICAV, and Ireland has an established infrastructure of fund managers, administrators, depositaries and other professional service providers. For US asset managers, an Irish UCITS can provide a regulated European fund platform with the potential for EU-wide distribution under the applicable passporting regime. The ICAV can also offer particular structural advantages, including, where appropriate, the ability to make a US federal tax classification election.
